Executive Compensation Associate

Overview

A leading international law firm is seeking an Executive Compensation Associate to join its nationally recognized compensation and benefits practice. The team advises public and private companies, boards of directors, compensation committees, and private equity sponsors on executive compensation, employee benefits, and incentive arrangements in connection with corporate transactions and ongoing governance matters.

This role provides the opportunity to work on sophisticated compensation structures tied to major M&A and capital markets transactions.

Key Responsibilities

• Advise clients on executive compensation and employee benefits matters in mergers, acquisitions, and financings
• Draft and negotiate employment agreements, equity incentive plans, retention arrangements, and severance agreements
• Counsel clients on securities, tax, and corporate governance implications of compensation structures
• Support private equity sponsors on management incentive and rollover equity arrangements
• Assist with SEC disclosure requirements and public company compensation issues
• Conduct due diligence and advise on benefits-related liabilities in transactions
• Collaborate with corporate, tax, labor, and securities teams on integrated matters

Qualifications

• J.D. from a top-tier law school with excellent academic credentials
• 3–6 years’ executive compensation and employee benefits experience at a leading law firm
• Familiarity with ERISA, Section 409A, equity compensation, and public company compensation matters
• Strong drafting and analytical skills
• Ability to manage complex matters and communicate effectively with sophisticated clients
• Admission to the applicable state bar or eligibility to waive in
