Overview

A leading US law firm is seeking an Equity Capital Markets Associate to join its London team. The practice advises issuers, investment banks, governments and public companies on sophisticated cross-border capital markets matters, with integrated English and US law capability across major international exchanges.

This is an opportunity to join a highly regarded ECM platform with exposure to IPOs, secondary offerings, public company advisory work and public M&A transactions across the UK, Europe and wider EMEA market.

What You’ll Do

  • Advise on IPOs, placings, rights issues and secondary equity offerings.
  • Work on UK public M&A transactions and public company advisory matters.
  • Support complex cross-border capital markets transactions involving listed companies, investment banks, sponsors and corporate issuers.
  • Draft and negotiate prospectuses, offering memoranda, underwriting agreements and related transaction documents.
  • Advise on UK listed company regulatory, governance and compliance matters.
  • Collaborate with international and multidisciplinary teams across the transaction lifecycle.

About You

  • 2-3 PQE, with strong London market ECM experience.
  • Background from a leading City, US, Magic Circle, Silver Circle or top-tier international transactional practice.
  • Strong technical grounding in English law ECM transactions and UK listed company regulatory frameworks.
  • Experience across IPOs, placings, rights issues, secondary offerings and public company matters.
  • Exposure to major international exchanges such as the LSE, NYSE, Nasdaq or Euronext would be advantageous.
  • Excellent drafting, communication and transaction management skills.
  • Strong academics, attention to detail and the ability to manage multiple deadlines in a busy environment.
