Overview
We are looking for a highly motivated Associate to join an Emerging Companies & Venture Capital (ECVC) practice. This role offers the opportunity to work with innovative startups, high-growth companies, and leading venture capital investors across a wide range of industries. The Associate will play a key role in advising clients through all stages of the business lifecycle.
What You’ll Do
• Advise startups and emerging growth companies on formation, structuring, and general corporate governance matters
• Represent venture capital firms and institutional investors in financings, including seed, Series A, and later-stage rounds
• Draft and negotiate key transaction documents, including stock purchase agreements, investor rights agreements, and shareholder agreements
• Support mergers, acquisitions, and other strategic transactions
• Provide day-to-day counsel to clients on operational and legal matters
• Collaborate with cross-functional teams, including tax, employment, and intellectual property specialists
About You
• J.D. from an accredited law school and strong academic credentials
• Admission to the bar in the relevant jurisdiction (or eligibility to waive in)
• 3–6 years’ experience in corporate law, with a focus on venture capital and emerging companies
• Strong drafting, negotiation, and analytical skills
• Ability to manage multiple transactions and work in a fast-paced environment
• Excellent interpersonal and client relationship skills
• Experience representing both companies and investors in venture financings
• Familiarity with startup ecosystems in Los Angeles, New York, or Denver
• Prior experience at a top-tier law firm or in-house with a high-growth company
