Senior Corporate Paralegal

A prestigious Am Law Firm is seeking a Senior Corporate Paralegal with substantial experience supporting Capital Markets, Emerging Growth/Startup Companies, and Mergers & Acquisitions matters. The Senior Corporate Paralegal will support attorneys and clients on a wide range of sophisticated corporate transactions, public company compliance matters, venture capital financings, and strategic M&A transactions. The ideal candidate bring a strong understanding of corporate governance and securities law processes.

This role will be hybrid and can be located in SF, Silicon Valley, Santa Monica, Seatttle, D.C., NYC, or Boston.

Key Responsibilities:

• Support capital markets transactions, public company reporting, securities compliance, and corporate governance matters.
• Assist with venture financings, company formations, equity administration, stock plans, and maintenance of corporate records.
• Coordinate M&A transactions, including due diligence, data room management, transaction documentation, regulatory filings, and closing processes.

Qualifications

• 5+ years of corporate and transactional paralegal experience.
• Significant experience supporting capital markets, public company, startup, and venture capital matters.
• Experience with M&A transactions preferred.
• Proficiency with capitalization management platforms, including Carta and Shareworks.
• Advanced Excel skills.
• Ability to manage multiple priorities in a deadline-driven environment.
• Bachelor’s degree and/or Paralegal Certificate from an ABA-approved program preferred.
• Prior experience in a law firm or large corporate legal department preferred.
• Interest in leveraging technology and AI tools to improve workflows and efficiency.
