Overview

A leading national law firm is seeking a Securities & Capital Markets Associate to join its collaborative Corporate and Capital Markets practice across several major U.S. financial centers, including New York, Chicago, Washington, D.C., Miami, Houston, San Francisco, Boston, Atlanta and Los Angeles.

The successful candidate will work within a multidisciplinary team advising on a range of sophisticated capital markets and corporate transactions, with the opportunity to collaborate closely with senior attorneys and participate in client-facing and business development activities.

This opportunity is particularly well suited to a 3–6 year associate looking to work on complex capital markets transactions while developing their career within a supportive and highly regarded national platform.

What You’ll Do

• Advise clients on capital markets transactions, including debt and equity offerings.
• Support public and private M&A transactions and related corporate matters.
• Assist clients with SEC compliance, disclosure, and periodic reporting obligations.
• Draft and review offering documents, securities filings, and transaction documentation.
• Collaborate with attorneys across corporate, finance, and regulatory teams on multidisciplinary matters.
• Participate in client-facing work and business development initiatives.

 About You

• J.D. from an accredited law school with strong academic credentials.
• 3–6 years of experience at a leading law firm working on corporate, securities, capital markets, and M&A matters.
• Experience advising on debt and equity offerings and SEC reporting requirements.
• Strong transactional, drafting, and analytical skills.
• Excellent written and verbal communication skills with the ability to work both independently and as part of a team.
• Experience with securitizations or aviation-related clients is considered a plus.
• Active bar admission and good standing in the jurisdiction where the candidate intends to practice.
