Overview
A leading international law firm is seeking an Investment Funds Associate to join its London Asset Management practice.
The role offers broad sponsor-side and investor-side work across fund formation, structuring, co-investments and secondary transactions. Clients include fund sponsors, institutional investors, pension funds, sovereign wealth funds, insurers, family offices and financial institutions.
 
What You’ll Do
  • Advise on the formation and structuring of private investment funds.
  • Work across private equity, venture capital, credit, real estate and infrastructure strategies.
  • Advise sponsors and institutional investors on fund investments and related negotiations.
  • Support co-investments, secondary transactions and management spin-outs.
  • Advise on carried-interest, governance, fee and alternative investment structures.
  • Draft and negotiate limited partnership agreements, private placement memoranda and subscription agreements.
  • Prepare side letters, investment management agreements and other fund documentation.
  • Manage multiple workstreams on domestic and cross-border matters.
  • Collaborate with regulatory, tax, pensions, finance and corporate specialists.
About You
  • Approximately 3–5PQE, with substantive Investment Funds or Asset Management experience.
  • England and Wales qualified, preferably, although internationally qualified lawyers with strong London experience may be considered.
  • Experience gained within a reputable City, international or US law firm.
  • Strong private fund formation and structuring experience.
  • Sound knowledge of limited partnership law and relevant regulatory frameworks.
  • Hands-on experience drafting and negotiating core fund documentation.
  • Excellent drafting skills and attention to detail.
  • Able to manage multiple matters effectively in a fast-paced environment.
  • Developing commercial judgement and confidence in client-facing situations.
Candidates with experience across both sponsor and investor mandates will be particularly attractive. Applications from broader corporate lawyers, pure regulatory specialists or candidates with only incidental private funds exposure are unlikely to be suitable.
