Overview

A highly regarded international law firm is seeking a Mid-Level Corporate Associate to join its Financial Restructuring and Distressed M&A practice in New York. The group advises clients on complex, high-stakes transactions at the intersection of M&A, private equity, and restructuring, offering exposure to some of the most challenging and commercially significant matters in the market. 

The team works collaboratively across corporate, finance, and restructuring disciplines, providing associates with the opportunity to develop a well-rounded skill set while advising sophisticated clients on transactions arising from both distressed and special situations contexts. 

About the Role

As a Corporate Associate within the Financial Restructuring / Distressed M&A practice, you will play a key role in advising clients on a broad range of transactions, including distressed mergers and acquisitions, private equity investments, and complex corporate matters involving financially stressed companies. You will be actively involved in deal execution and management, working closely with partners and senior lawyers throughout the lifecycle of each transaction. 

This role is well suited for an associate with 3–5 years of experience who has a strong foundation in M&A and general corporate work, with exposure to restructuring, bankruptcy, or finance matters, and who is looking to deepen expertise in sophisticated, cross-disciplinary transactions. 

What You’ll Do

• Advise clients on distressed M&A, restructuring-related transactions, and general corporate matters 
• Handle core M&A workstreams, including drafting and negotiating transaction documents and managing deal processes 
• Support private equity transactions involving distressed or special situations assets 
• Collaborate with restructuring, finance, and capital markets colleagues on integrated matters 
• Assist with transaction structuring, diligence, negotiation, and execution through closing 
• Provide practical, commercially focused legal advice in complex and time-sensitive situations 
• Manage multiple workstreams effectively while maintaining high-quality client service 

About You

• Juris Doctor (JD) from an accredited U.S. law school 
• 4–5 years of experience in corporate/M&A matters at a reputable law firm 
• Substantive experience handling M&A transactions and managing deal processes 
• Exposure to restructuring, bankruptcy, finance, or capital markets matters is preferred 
• Strong academic credentials 
• Excellent drafting, analytical, and problem-solving skills 
• Strong communication skills and the ability to work effectively in a collaborative team environment
