Overview

A highly regarded international law firm is seeking a Mid-Level Corporate Associate to join its Financial Restructuring and Distressed M&A practice in New York. The group advises clients on complex, high-stakes transactions at the intersection of M&A, private equity, and restructuring, offering exposure to some of the most challenging and commercially significant matters in the market. 

The team works collaboratively across corporate, finance, and restructuring disciplines, providing associates with the opportunity to develop a well-rounded skill set while advising sophisticated clients on transactions arising from both distressed and special situations contexts. 

About the Role

As a Corporate Associate within the Financial Restructuring / Distressed M&A practice, you will play a key role in advising clients on a broad range of transactions, including distressed mergers and acquisitions, private equity investments, and complex corporate matters involving financially stressed companies. You will be actively involved in deal execution and management, working closely with partners and senior lawyers throughout the lifecycle of each transaction. 

This role is well suited for an associate with 3–5 years of experience who has a strong foundation in M&A and general corporate work, with exposure to restructuring, bankruptcy, or finance matters, and who is looking to deepen expertise in sophisticated, cross-disciplinary transactions. 

What You’ll Do

 Advise borrowers, lenders, and sponsors on a broad range of banking and finance transactions, including loan financings, project finance, and structured finance matters 
 Draft, review, and negotiate finance documentation, including credit agreements, commitment letters, security documents, and related ancillary agreements 
 Conduct legal research and prepare memoranda and opinions on complex banking and finance issues 
 Support transaction execution from structuring through signing and closing 
 Collaborate closely with colleagues across M&A, capital markets, tax, and regulatory teams on integrated transactions 
 Stay current on developments in banking and finance laws, regulations, and market trends 
 Build and maintain strong client relationships through high-quality service and responsiveness 

About You

• Juris Doctor (JD) from an accredited U.S. law school 
• 3–6 years of banking and finance experience gained at a reputable law firm 
• Admission to practice law in Georgia, or eligibility to waive in 
• Experience handling complex financing transactions and related documentation 
• Strong analytical, drafting, and problem-solving skills 
• Excellent communication and interpersonal skills 
• Ability to work effectively in a fast-paced, collaborative team environment
