Associate – Private Funds Formation

A global law firm advising investment managers and financial institutions on complex fund formation and investment matters.

Buchanan is working with the firm to recruit a Private Funds Associate. This opportunity would suit a lawyer looking to deepen their fund formation experience and advise international sponsors across a range of investment strategies.

You will work on the structuring, fundraising and ongoing operation of private investment funds, collaborating with partners and colleagues across practices and offices.

The role

• Advise sponsors on the formation, structuring and fundraising of private investment funds.
• Draft and negotiate fund agreements, offering materials, subscription documents and investor side letters.
• Support investor negotiations and manage fund closing processes.
• Advise on co-investment arrangements and internal sponsor structures.
• Assist with ongoing fund operations and governance matters.
• Work with tax and regulatory colleagues on issues affecting funds and their managers.
• Coordinate workstreams and maintain direct contact with clients and their advisers.

About you

• At least three years’ experience in private investment fund formation and related operational matters.
• Strong drafting and negotiation skills.
• Experience advising fund sponsors on fundraising and investor arrangements.
• The ability to manage competing deadlines and take responsibility for substantive work.
• Clear communication skills and sound commercial judgement.
• A JD and appropriate US bar admission.
