A leading global U.S. law firm is looking for a Technology Transactions Associate to join its highly regarded New York practice.

The team advises innovative technology companies, growth-stage businesses, multinational corporations, private equity sponsors and strategic investors on complex commercial technology matters across a broad range of industries. The practice sits at the forefront of developments in software, artificial intelligence, cloud computing, digital infrastructure and emerging technologies, supporting clients on business-critical transactions and strategic initiatives.

The Role

The successful candidate will work on a diverse range of technology-focused transactions and commercial agreements, advising clients throughout their lifecycle, from venture-backed startups to publicly listed companies and established global enterprises.

Key responsibilities include:

  • Drafting, negotiating and advising on complex commercial technology agreements.
  • Advising on software licensing, SaaS, cloud services and digital infrastructure arrangements.
  • Supporting strategic partnerships, joint ventures and technology-enabled commercial transactions.
  • Negotiating platform development, product development and collaboration agreements.
  • Advising on data licensing, data-sharing and AI-related contractual arrangements.
  • Supporting technology aspects of M&A, financings and other strategic corporate transactions.
  • Advising clients on outsourcing arrangements, technology procurement and digital transformation projects.
  • Working closely with founders, in-house counsel, business teams and senior stakeholders on commercially significant matters.
  • Managing transaction processes and coordinating across multiple practice groups where required.

Candidate Profile

The ideal candidate will possess:

  • Approximately 5–7 years’ post-qualification experience gained at a leading law firm.
  • Strong experience advising on technology transactions and commercial technology agreements.
  • Demonstrated expertise across areas such as software licensing, SaaS, cloud services, technology outsourcing, data licensing, AI-related contracts and strategic technology partnerships.
  • Excellent drafting, negotiation and project management skills.
  • Strong commercial judgement and the ability to provide practical, business-focused advice.
  • Experience working directly with clients and managing significant workstreams independently.
  • Admission to the New York Bar.
