Overview

A leading international law firm with a strong, well-established structured finance practice is seeking a talented Structured Finance Lawyer to join its growing team in New York or Charlotte. The firm is widely recognized for advising on sophisticated, high-value structured finance transactions for a blue-chip client base that includes global financial institutions, investment banks, asset managers, private equity sponsors, and corporate issuers. 

This role offers the opportunity to work on complex, market-leading transactions within a collaborative and highly regarded team, alongside partners who are recognized leaders in the structured finance space. 

The successful candidate will support a broad range of structured finance and securitization transactions across multiple asset classes. This position is well suited for a lawyer in the early stages of their career who is eager to deepen technical expertise, gain meaningful client exposure, and work on sophisticated domestic and cross-border deals. 

You will be involved in transactions from inception through closing, with increasing responsibility as your experience develops. 

What You’ll Do

Advise on a wide range of structured finance and securitization transactions, including: asset-backed securities (ABS), mortgage-backed securities (RMBS and CMBS) and CLOs and other structured credit products 
• 
Warehouse facilities and asset-backed lending 
• Debt capital markets–related structured products 
• Draft, review, and negotiate transaction documentation, including: 
• Offering memoranda and prospectuses 
• Indentures, trust agreements, and servicing agreements 
• Loan agreements, purchase agreements, and security documents 
• Assist with due diligence across asset pools and transaction parties, identifying legal, structural, and regulatory risks 
• Conduct legal research and analysis relating to U.S. securities laws, structured finance regulations, and evolving market standards 
• Coordinate with clients, underwriters, rating agencies, trustees, and internal teams to ensure smooth and timely transaction execution 
• Support partners in managing transactions, preparing client advice, and responding to regulatory or structural questions 
• Stay informed on market trends, regulatory developments, and evolving deal structures affecting structured finance and securitization markets 

About You

0–5 years’ experience in structured finance, securitization, capital markets, or asset-backed lending 
• 
Experience gained at a leading law firm or in-house financial institution preferred 
• 
Juris Doctor (JD) from a top-tier law school with strong academic credentials 
• Admission to practice law in New York (or eligibility to waive in); North Carolina admission is a plus for Charlotte-based candidates 
• Solid understanding of structured finance products and transaction mechanics 
• Strong drafting, analytical, and problem-solving skills 
• Ability to manage multiple workstreams in a fast-paced transactional environment 
• Excellent communication skills and a collaborative, team-oriented mindset
