Private Equity Associate

Overview

A leading US law firm is seeking a Private Equity Associate to join its London Financial Sponsors team. The practice advises private equity sponsors, portfolio companies and management teams across the full investment lifecycle, including acquisitions, disposals, bolt-ons, management incentive arrangements, restructurings, recapitalisations and exits.

This is an opportunity to join one of Europe’s leading sponsor practices, working as part of a highly integrated global M&A platform on sophisticated cross-border transactions for major financial sponsors and portfolio businesses.

What You’ll Do

• Advise financial sponsors, portfolio companies and management teams on private equity transactions.
• Work on acquisitions, disposals, bolt-on investments, restructurings, recapitalisations and exits.
• Draft and negotiate SPAs, shareholders’ agreements, disclosure letters and ancillary transaction documents.
• Support management incentive arrangements, leaver terms and related documentation.
• Assist with transaction structuring, funds flows and sponsor-backed deal execution.
• Collaborate with partners, counsel and international teams on complex UK and European transactions.

About You

• 2-4 PQE, with strong private equity or sponsor-led transactional experience.
• Background from a leading City, US, Magic Circle, Silver Circle or top-tier international transactional practice.
• Strong technical grounding in private equity and sponsor-led M&A.
• Experience advising financial sponsors, portfolio companies and/or management teams.
• Comfortable drafting and negotiating sophisticated transaction documents.
• Strong commercial awareness and understanding of sponsor dynamics.
• Excellent academics, attention to detail and the ability to manage multiple workstreams in fast-paced deal environments.
