Overview

A leading international law firm is looking for a talented Associate to join it’s Mergers & Acquisitions practice. This role focuses on advising private equity sponsors, general partners, and institutional investors on complex transactions and strategic initiatives. The Associate will work on high-profile deals, providing sophisticated counsel across the investment lifecycle.

What You’ll Do

• Represent private equity sponsors and general partners in mergers, acquisitions, divestitures, and secondary transactions
• Advise on GP-led transactions, including continuation funds, fund restructurings, and liquidity solutions
• Draft and negotiate transaction agreements, including purchase agreements, partnership agreements, and related documentation
• Conduct and oversee due diligence processes and coordinate with specialist teams
• Provide strategic legal advice on deal structuring, execution, and risk management
• Collaborate closely with clients, financial advisors, and internal teams to drive transactions forward

 About You

• J.D. from an accredited law school with strong academic credentials
• Admission to the bar in the relevant jurisdiction (or eligibility to waive in)
• 3–7 years of experience in M&A, private equity, or related transactional practice
• Demonstrated experience with sponsor-side transactions and GP-led solutions preferred
• Strong drafting, negotiation, and analytical skills
• Ability to manage multiple complex transactions in a fast-paced environment
• Experience advising private equity sponsors or asset managers
• Familiarity with fund structures and GP/LP dynamics
• Background at a top-tier law firm or relevant in-house experience
