Overview

A leading international law firm is looking for a talented and driven Leveraged Finance Associate to join its highly regarded finance practice in New York or Boston. This role offers the opportunity to work on complex, high-profile leveraged finance transactions for sophisticated sponsors, borrowers, and financial institutions across the U.S. and globally. 

The practice is known for its deep market expertise in sponsor-side and lender-side leveraged finance, advising on transactions spanning leveraged buyouts, acquisition financings, recapitalizations, refinancings, and other strategic financing arrangements. Associates are given meaningful responsibility early, direct client exposure, and the opportunity to work closely with market-leading partners on cutting-edge transactions. 

About the Role

The successful candidate will play an integral role in structuring, negotiating, and executing leveraged finance transactions across a broad range of industries. This position is well suited for associates with strong technical skills who are looking to deepen their expertise in leveraged finance while working in a collaborative, fast-paced environment. 

Associates will be involved throughout the full transaction lifecycle, from initial structuring and diligence through documentation, negotiation, and closing, with increasing responsibility commensurate with experience. 

What You’ll Do

• Advise private equity sponsors, corporate borrowers, financial institutions, and alternative lenders on leveraged finance transactions, including: leveraged buyouts, acquisition financings, recapitalizations and dividend transactions, refinancings and amend-and-extend transactions and syndicated loan facilities and direct lending transactions 
• Draft, review, and negotiate a wide range of finance documentation, including: credit agreements and commitment papers, term sheets and fee letters, intercreditor and subordination agreements and security documents and guarantees 
• Coordinate and manage legal due diligence, identifying key credit, structural, and legal risks 
• Advise on covenant packages, pricing terms, collateral structures, and intercreditor arrangements 
• Work closely with capital markets, tax, restructuring, regulatory, and M&A teams on integrated transactions 
• Support transaction execution from initial structuring through signing and closing 
• Interact directly with clients, opposing counsel, investment banks, and financial advisors 
• Monitor leveraged finance market trends, including developments in sponsor activity, pricing, and documentation terms 
• For more senior associates, take on increased responsibility for deal management, client relationships, and mentoring junior team members 

About You

• Juris Doctor (JD) from an accredited U.S. law school 
• 2–7 years of leveraged finance experience gained at a leading law firm 
• Experience representing private equity sponsors, borrowers, and/or lenders preferred 
• Admission to practice law in New York or Massachusetts, or eligibility to waive in 
• Strong understanding of leveraged finance products and market-standard documentation 
• Excellent drafting, negotiation, and analytical skills 
• Ability to manage multiple transactions in a fast-paced, deadline-driven environment 
• Strong communication skills and a collaborative, solutions-oriented mindset
