Overview
A leading national law firm is seeking a Finance Counsel to join its Finance and Lending practice across multiple U.S. offices, including New York, Chicago, Los Angeles, San Francisco, Houston, Dallas, Boston, Washington, D.C., and Atlanta.
The successful candidate will advise clients on a broad range of financing transactions, including leveraged loans, acquisition financings, refinancing, and structured finance deals. This role offers the opportunity to work on complex, high-profile transactions while collaborating with partners, clients, and other practice groups in a dynamic, fast-paced environment.
This position is particularly well suited to a 7+ year attorney with extensive finance experience looking for a senior role in a leading national platform.
What You’ll Do
• Advise clients on corporate lending and structured finance transactions, including leveraged and acquisition financings.
• Draft, review, and negotiate loan agreements, security documents, intercreditor agreements, and other finance-related documentation.
• Conduct transactional due diligence and advise on legal and commercial risk.
• Collaborate with partners and other practice groups on complex cross-border and domestic financing deals.
• Provide strategic guidance on regulatory compliance, risk management, and deal structuring.
About You
• J.D. from an accredited law school with excellent academic credentials.
• 7+ years of finance, banking, or leveraged lending experience at a law firm or equivalent professional environment.
• Strong technical and drafting skills with experience handling complex financing documentation.
• Excellent negotiation, communication, and analytical skills.
• Ability to work independently and collaboratively on sophisticated financing matters.
• Experience with cross-border transactions and sponsor-side financings is a plus.
