Overview

An elite international law firm is looking for an Associate to join its market-leading Mergers & Acquisitions practice in Boston. This role offers exposure to complex, high-value domestic and cross-border transactions, advising a prestigious client base including private equity sponsors, multinational corporations, and financial institutions.

Key Responsibilities

• Advise clients on a wide range of M&A transactions, including public and private company acquisitions, mergers, carve-outs, and strategic investments
• Draft, review, and negotiate transaction documentation, including purchase agreements, merger agreements, disclosure schedules, and ancillary documents
• Coordinate and manage legal due diligence processes, identifying key risks and key commercial issues
• Support transaction execution from structuring through signing and closing
• Work collaboratively with specialists across tax, finance, antitrust, employment, and regulatory teams
• Interact directly with clients, investment bankers, and opposing counsel on transaction matters
• For more senior associates, assume increased responsibility for deal management and mentoring junior team members

Key Requirements

• JD from a top-tier law school and admission to practice in at least one US jurisdiction (Massachusetts or New York preferred)
• 2–5 years of experience at a leading law firm within a corporate/M&A practice
• Strong technical grounding in corporate law and transaction structuring
• Experience advising private equity clients is highly desirable
• Excellent drafting, negotiation, and analytical skills
• Ability to thrive in a fast-paced, high-performance environment
