A globally recognised international law firm is seeking an experienced Finance Associate with 3–6 years’ experience to join its highly regarded Finance practice in New York or Boston.

This is an exciting opportunity to work on sophisticated domestic and cross-border financing transactions alongside a collaborative team of leading finance lawyers. The successful candidate will advise major financial institutions, institutional lenders, private equity sponsors and corporate borrowers on a broad range of complex lending matters while gaining exposure to market-leading clients and high-profile transactions.

The Role

As a member of the Finance group, you will advise lenders and borrowers on a wide variety of financing transactions, including:

  • Leveraged finance
  • Syndicated lending
  • Sponsor-backed finance
  • Secured lending transactions
  • Corporate and commercial lending
  • Acquisition finance
  • Refinancings and recapitalisations

You will take ownership of key aspects of transactions from inception through closing, working closely with partners, clients and opposing counsel on complex financing matters.

Your responsibilities will include:

  • Drafting, reviewing and negotiating loan agreements
  • Preparing security and collateral documentation
  • Negotiating intercreditor agreements
  • Drafting commitment papers and term sheets
  • Managing closing documentation and transaction execution
  • Coordinating due diligence and transaction processes
  • Working directly with clients to deliver commercially focused legal advice

Candidate Profile

The successful candidate will have:

  • 3–6 years’ experience at a leading law firm representing banks, institutional lenders and borrowers
  • Strong experience advising on secured lending transactions
  • Experience in leveraged finance, syndicated lending and sponsor finance is strongly preferred
  • Candidates with broader commercial lending experience are also encouraged to apply
  • Excellent drafting, negotiation and analytical skills
  • Experience managing multiple transactions simultaneously
  • Strong commercial awareness and attention to detail
  • Outstanding written and verbal communication skills
  • Admission to the bar in the relevant jurisdiction, or eligibility to waive in
