An elite, market-leading US law firm is looking for a high-calibre Private Investment Funds Associate to join its Investment Management platform in New York or Boston.
This practice sits at the forefront of the global private capital market, advising many of the world’s most sophisticated private equity sponsors, credit managers, real assets platforms, and multi-strategy asset managers on flagship and first-time fund launches.
You will work on headline-making fundraises and complex, cross-border structures in a team consistently ranked at the top of Chambers and Legal 500.

What You’ll Do
• Formation and structuring of private equity and buyout funds, venture and growth equity funds, private credit and opportunistic debt vehicles, real estate and infrastructure funds, secondaries and continuation vehicles, hybrid and multi-strategy platforms.
• Drafting and negotiating market-leading limited partnership agreements, operating agreements, subscription documentation, side letters with major institutional LPs, GP and management company arrangements, carried interest and incentive structures.
• Advising on complex U.S. and cross-border regulatory considerations under the Investment Advisers Act
• Partnering with tax, regulatory, and transactional teams to deliver innovative structuring solutions
• You will have direct exposure to founders, CIOs, and senior leadership at globally recognised asset managers.
About You
• 4–8+ years’ experience in private fund formation at a top US or international firm
• Strong sponsor-side experience (LP representation a plus)
• Excellent drafting skills and commercial judgment
• Experience handling sophisticated institutional investors
• Confident managing multiple workstreams in high-pressure fundraises
• Admission to NY or MA Bar (or eligibility)
