Executive Compensation Associate

The Opportunity

A leading international law firm is seeking an Executive Compensation Associate to join its New York office.

The successful candidate will work within a sophisticated practice advising public and private companies, boards, executives and private equity clients on executive compensation and employee benefits matters arising from major corporate transactions and day-to-day advisory work.

The position offers the opportunity to work closely with the firm’s corporate, M&A, private equity and securities teams on high-profile and complex transactions.

The Role

The role will include:

• Executive employment and compensation arrangements
• Equity and incentive compensation plans
• Management incentive arrangements
• Change-in-control and severance arrangements
• Compensation and benefits aspects of M&A transactions
• Private equity transactions and management equity arrangements
• Executive employment agreements
• Employee benefits issues arising in corporate transactions
• Securities and tax considerations relating to compensation arrangements

The role combines transactional work with standalone executive compensation advice, providing broad exposure to sophisticated clients and matters.

The Candidate

The ideal candidate will have:

• Experience in executive compensation and employee benefits
• Exposure to M&A, private equity or other corporate transactions
• Strong drafting and analytical skills
• An understanding of the tax and securities considerations relevant to executive compensation
• Excellent academic credentials
• Strong communication and client management skills
• The ability to work effectively across multiple practice groups
• New York Bar admission or eligibility to become admitted
