Corporate Trust Associate

Overview

An elite law firm is looking for an Associate to join its Corporate Trust practice. The team advises financial institutions, trustees, issuers, and corporate clients on complex domestic and cross-border debt transactions involving indentures, structured finance products, securitizations, and trust administration matters.

This position offers exposure to high-value capital markets transactions and sophisticated financing structures across multiple industries.

Key Responsibilities

• Draft and negotiate indentures, trust agreements, collateral documents, and related transaction materials
• Advise corporate trustees and financial institutions on fiduciary obligations and compliance matters
• Support debt offerings, securitizations, structured finance, and capital markets transactions
• Provide counsel on defaults, restructurings, and workout scenarios
• Coordinate closings and manage transaction execution across multiple stakeholders
• Conduct legal research and prepare memoranda on trust and finance-related issues
• Collaborate with banking, restructuring, and capital markets teams on integrated matters

Qualifications

• J.D. from a highly regarded law school with excellent academic performance
• 3–6 years’ relevant experience in corporate trust, capital markets, structured finance, or related practices
• Strong familiarity with indenture structures and financing transactions
• Exceptional drafting and analytical abilities
• Ability to work effectively with financial institutions and sophisticated clients
• Admission to the applicable state bar or eligibility to obtain admission
